Recapitalization Event definition

Recapitalization Event means any event of share combination or subdivision, distribution of bonus shares or any other similar reclassification, reorganization or recapitalization of the Company’s share where the shareholders retain their proportionate holdings in the Company.
Recapitalization Event means an event where the issued and outstanding shares or securities exchangeable into or exercisable for shares, shall have been changed or reclassified into a different class or number of shares, including by way of reverse share split or stock split, share dividend, division, combination or distribution of shares, or other similar recapitalization.
Recapitalization Event has the meaning set forth in Section 5.05(a).

Examples of Recapitalization Event in a sentence

  • Such number of Preferred Shares shall be adjusted for any Recapitalization Event.

  • In the event of a Recapitalization Event as a result of which one class or series of Equity Securities is converted into another class or series of Equity Securities, then a holder of the corresponding class or series of Units will be entitled to receive on exchange the amount of the security that the holder would have received if the exchange of Units had occurred immediately before the effective date of the Recapitalization Event.

  • In any case where this Section 5.03(b) applies, the second sentence of Section 5.05 shall also apply to the Recapitalization Event as though it were a Reorganization Event.
