D Share definition

D Share means a participating share of no par value in the capital of the Fund which has been designated as a D share and which will not pay a dividend;
D Share means (i) a non-voting class D redeemable share of US$1.00 in the capital of the Company from time to time, and (ii) any other shares in the capital of the Company which are designated or redesignated as D Shares, whether with the same or a different nominal value;
D Share means a redeemable D ordinary share of $0.016281 in the Company;

  • At the end of such month, such Class T Share, Class S Share or Class D Share (and any shares issued under the Company’s distribution reinvestment plan or pursuant to stock dividends with respect thereto) will convert into a number of Class I Shares (including any fractional shares) with an equivalent aggregate NAV as such share.

  • For the avoidance of doubt, any restrictions in respect of the Transfer of the Series D Preferred Shares under this Agreement shall be cumulative with, but not in lieu of, the restrictions set forth under Section 7.7 of the Series D Share Purchase Agreement.

  • At the end of such month, each such Class S Share or Class D Share will convert into a number of Class I Shares (including any fractional Shares), each with an equivalent aggregate NAV as such Share.

  • At the end of such month, such Class T Share, Class S Share or Class D Share (and any shares issued under the DRP) will convert into a number of Class I Shares (including any fractional shares) with an equivalent aggregate NAV as such share.
