D Share definition

D Share means a participating share of no par value in the capital of the Fund which has been designated as a D share and which will not pay a dividend;

D Share means a redeemable D ordinary share of $0.016281 in the Company;

D Share means a D1 Share or a D2 Share and "D Shares" shall be construed accordingly;

• This is to ensure that the calculation of the Net Asset Value per Share of each of the Distributing Share Classes, Accumulation D Share Classes and the other Accumulation Share Classes is done in such a manner as to treat each Shareholder consistently.

• The D Share Class, F Share Class and S Share Class are subject to 0.25%, 0.50% and 0.85% of shareholder servicing and/or distribution fees on an annualized basis, respectively.

• Shares of T Share Classes will be switched automatically into the D Share Class of the Sub-Fund on the third anniversary of the issue of such T Shares (or if such anniversary is not a Valuation Day, on the immediately following Valuation Day) on the basis of the respective net asset values of the relevant T Share Class and D Share Class.

• The Company will further cease paying the distribution and stockholder servicing fee on any Class T Share, Class S Share or Class D Share that is redeemed or repurchased, as well as upon the Company’s dissolution, liquidation or the winding up of its affairs, or a merger or other extraordinary transaction to which the Company is a party and in which the Class T Shares, Class S Shares or Class D Shares, each as a class, are exchanged for cash or other securities.
