Data File definition

Data File means a single record or collection of data records that are logically related to each other, and are handled as a unit;

Data File. The electronic data file prepared by Company and delivered to the Purchaser including the data fields set forth on Exhibit A-1 with respect to each Mortgage Loan.

Data File means the compilation of information and data regarding the Mortgage Loans covered by the Agreed Upon Procedures Letters dated December 1, 2003 and rendered by KPMG LLP or Ernst & Young LLP, as the case may be (a "hard copy" of which Data File was initialed on behalf of the Seller and the Purchaser).

Examples of Data File in a sentence

• The Servicer shall provide (or cause to be provided) the Data File to the Collateral Agent at least five (5) Business Days prior to the Monthly Reporting Date.

• The Collateral Manager shall provide (or cause to be provided) the Data File to the Collateral Administrator at least three (3) Business Days prior to the Monthly Reporting Date and, with respect to a Payment Date Report, at least three (3) Business Days prior to the Payment Date.

• The Collateral Agent shall use commercially reasonable efforts to review and, based solely on the Data File provided by the Borrower (or Servicer on its behalf), re-calculate the calculations in clauses (i) through (xvi) below made by the Servicer in any such Monthly Report for such calendar month, within two (2) Business Days of the receipt thereof and notify the Servicer and the Administrative Agent in the event of any discrepancy between the Collateral Agent’s calculations and the Monthly Report.

• Moreover, in some instances, the number of persons having expenditures on the 2003 event files for a particular source of payment may differ from the number of persons with expenditures on the 2003 Full Year Consolidated Data File for that source of payment.

• ORCID shall only use and make available Record Data via the ORCID Registry and the Public Data File as permitted by this Agreement, and to the extent that any Record Data is edited or removed as permitted by this Agreement, the viewable Registry and future Public Data Files shall reflect such changes.

More Definitions of Data File

Data File has the meaning assigned to such term in Section 8.06(a).

Data File means electronic health information including medical claims files, eligibility files, medical provider files, pharmacy claims files, control totals files, subscriber-billed premiums files, APM files and any other related information specified in these rules.

Data File means the compilation of information and data regarding the Mortgage Loans covered by the Agreed Upon Procedures Letters, dated May 16, 2007, rendered by KPMG LLP (a “hard copy” of which Data File was initialed on behalf of the Seller and the Purchaser). “Free Writing Prospectus” shall mean a “free writing prospectus” as such term is defined pursuant to Rule 405 under the 1933 Act. “Corrected Free Writing Prospectus” shall mean a Free Writing Prospectus that corrects any previous Free Writing Prospectus prepared by or on behalf of any Underwriter and delivered to any purchaser that contained any untrue statement of a material fact or omitted to state a material fact necessary in order to make the statements contained therein, in light of the circumstances in which they were made, not misleading. “Time of Sale” shall mean the time at which sales to investors of the Certificates were first made as determined in accordance with Rule 159 of the 1933 Act. “Time of Sale Information” shall mean each free writing prospectus listed on Exhibit B hereto. “Issuer Information” shall have the meaning given to such term in Rule 433(h) under the 1933 Act (as discussed by the Securities and Exchange Commission (the “Commission”) in footnote 271 of the Commission’s Securities Offering Reform Release No. 33—8591). “Regulation AB” shall have the meaning as defined in Subpart 229.1100 – Asset Backed Securities (Regulation AB), 17 C.F.R. §§229.1100-229.1123 of the 1933 Act, as such may be amended from time to time, and subject to such clarification and interpretation as have been provided by the Securities and Exchange Commission (the “Commission”) in the adopting release (Asset-Backed Securities, Securities Act Release No. 33-8518, 70 Fed. Reg. 1,506, 1,531 (Jan. 7, 2005)) or by the staff of the Commission, or as may be provided by the Commission or its staff from time to time.

Data File. The electronic data file prepared by the Company for each Pool and delivered to the Purchaser including the data fields set forth on Exhibit C with respect to each Mortgage Loan.

Data File means the encrypted list (with only the names, addresses and contact numbers of the respective Obligors) made available by VWFS to the Issuer.
