Dated Subordinated Notes definition

Dated Subordinated Notes means Notes specified in the applicable Pricing Supplement as dated subordinated notes;

Dated Subordinated Notes means those Notes whose status is specified as “Dated Subordinated” in the relative Final Terms or Pricing Supplement;

Dated Subordinated Notes means Notes which are specified in the Final Terms as being dated subordinated Notes;

Examples of Dated Subordinated Notes in a sentence

• Unless otherwise specified in the relevant Final Terms, payments of interest relating to Dated Subordinated Notes constitute obligations which rank equally with the obligations of the Issuer in respect of Unsubordinated Notes issued by the Issuer in accordance with Condition 3(a).

• Payments of interest relating to Dated Subordinated Notes constitute obligations which rank equally with the obligations of the Issuer in respect of Unsubordinated Notes issued by the Issuer in accordance with Condition 3(a).

• The Dated Subordinated Notes shall also rank in priority to any class of share capital, whether represented by ordinary shares or preference shares (actions de préférence), issued by the Issuer.

• Unless the relevant Final Terms specify that Condition 3(b)(i) shall also apply to the Coupons relating to Dated Subordinated Notes, payments of interest relating to Dated Subordinated Notes constitute obligations which rank equally with the obligations of the Issuer in respect of Unsubordinated Notes issued by the Issuer in accordance with Condition 3(a).

• Unless otherwise permitted by the prevailing Capital Rules, Dated Subordinated Notes will have a minimum maturity of five years.

• If the dispute is not resolved through negotiation or mediation within forty-five (45) days of the date of the initial demand for mediation, the parties are free to file an arbitration action.

• This Condition 7(i) applies to (i) Senior Preferred Notes where this Condition 7(i) is specified as being applicable in the applicable Final Terms (Restricted Senior Preferred Notes) (ii) Senior Non-Preferred Notes and (ii) Dated Subordinated Notes.

• The first Instalment Date, in relation to Dated Subordinated Notes the proceeds of which constitute Lower Tier 2 Capital and for the purposes of the FSA Policy, will not be less than five years and one day from the Issue Date and where the proceeds constitute Tier 3 Capital, will not be less than two years from the Issue Date.

• In addition, in respect of any redemption of Dated Subordinated Notes pursuant to Condition 7(b) or 7(j) only, and except to the extent the Relevant Regulator no longer so requires, the Issuer may only redeem the Dated Subordinated Notes before five years after the Issue Date if the Issuer demonstrates to the satisfaction of the Relevant Regulator that the circumstance that entitles it to exercise such right of redemption was not reasonably foreseeable as at the Issue Date of the last Tranche of the Notes.

• This Condition 4 shall not be applicable to any Senior Non-Preferred Notes or any Dated Subordinated Notes.
