• This Contract will be deemed for all purposes prepared by the joint efforts of the parties hereto and will not be construed against one party or the other as a result of the preparation, drafting, submittal, or other event of negotiation, drafting, or execution of the DB Agreement.

• The initial maintenance term shall commence on the date of Substantial Completion of the Project in accordance with the DB Agreement with the issuance by TxDOT of Maintenance NTP1 (the “Initial Maintenance Term Commencement Date”), and shall continue for a period of five years, unless terminated earlier in accordance with the terms of this Comprehensive Maintenance Agreement (the “Initial Maintenance Term”).

• The Template Education D&B Agreement envisages that the Final Commissioning Programme(s) will set out all requirements and obligations in relation to the development, nature, principles and performance of the completion tests to be performed to enable certification of completion to take place.

• The initial maintenance term shall commence on the date of Substantial Completion of the Project in accordance with the DB Agreement provided TxDOT has issued Maintenance NTP1 (the “Initial Maintenance Term Commencement Date”), and shall continue for a period of five years, unless terminated earlier in accordance with the terms of this Capital Maintenance Agreement (the “Initial Maintenance Term”).

• Any increase in the contract completion date past the date specified in the RFP will negate the incentive payment portion of the design build fee as detailed in the RFP and Section 19.4 of this DB Agreement.

• With respect to the Parties’ rights and obligations described in Section 6.8.4 of the DB Agreement, for purposes of this Section 3.1.3.2 the conditions to assistance described in clauses (x), (y) and (z) of the preceding sentence shall be treated in the same manner as those described in Sections 6.8.4(a) through (c) of the DB Agreement.

DB Agreement means a contract or agreement between Owner and the Person identified as the DB, whereby the DB is the responsible party for the design and construction of the Project.

DB Agreement means the contract intended to be awarded for performance of the design and build obligations required by the Project in the two stage procurement process commenced by issuance of this RFQ;
