D&B Indemnitees means D&B, each member of the D&B Group, each of their respective directors, officers, employees and agents and each of the heirs, executors, successors and assigns of any of the foregoing, except the Cognizant Indemnitees and ACNielsen Indemnitees.

  • Except as otherwise specifically set forth in any provision of this Agreement or of any Ancillary Agreement, the Corporation shall indemnify, defend and hold harmless the New D&B Indemnitees from and against any and all Indemnifiable Losses of the New D&B Indemnitees arising out of, by reason of or otherwise in connection with the RHD Liabilities or alleged RHD Liabilities, including any breach by the Corporation of any provision of this Agreement or any Ancillary Agreement.
