Deal Value definition

Deal Value means (i) with respect to any share of Class A Common, $.6667 less the amount of any cash distributed by the Company with respect to such share of Class A Common between the date hereof and the applicable Valuation Date (such number to be appropriately adjusted for any stock split, reverse stock split, stock dividend or other combination of Class A Common after the date hereof) and (ii) with respect to any share of Class L Common, $54.00 less the amount of any cash distributed by the Company with respect to such share of Class L Common between the date hereof and the applicable Valuation Date (such number to be appropriately adjusted for any stock split, reverse stock split, stock dividend or other combination of Class L Common after the date hereof).
Deal Value means the value of any cash or property paid by the Company to acquire an asset(s) in an Originated Deal or invested by the Company in connection with an Originated Deal, as determined by the CEO in his sole discretion.
Deal Value means, for the sale of a Division, the present value (discounted at 16 2/3%) of the sale proceeds of the Division at the date of calculation or, for a Division that has sold stock in an initial public offering, the capitalized value of the Division reflecting the offering price.

More Definitions of Deal Value

Deal Value means the per share consideration to be paid to and/or received by shareholders of the Company in connection with the Change of Control.
Deal Value means the aggregate total "value" of the consideration in the ---- ----- Merger, and the related transactions contemplated hereby, calculated as if the Merger, and the related transactions contemplated hereby, were treated as a liquidation, dissolution or winding-up "liquidation event" under the terms of the Company's Certificate of Incorporation, as amended and in effect on the Closing Date.
Deal Value means the product of the (i) Gross Share Number, multiplied by (ii) the Average Closing Price.

Related to Deal Value

  • Original Value The lesser of (a) the Appraised Value of a Mortgaged Property at the time the related Mortgage Loan was originated and (b) if the Mortgage Loan was made to finance the acquisition of the related Mortgaged Property, the purchase price paid for the Mortgaged Property by the Mortgagor at the time the related Mortgage Loan was originated.

  • RI Initial Value means, in respect of a Reference Item, the Initial Closing Price.

  • Total Value means either the fair market value or the actual price paid for a covered animal part or product, whichever is greater.

  • Initial Value means the net asset value of one unit or share of an investment fund at the beginning of the performance measurement period; and

  • Retail value of a prize means:

  • Actual Value means the greenhouse gas emissions savings for some or all of the steps of a specific biofuel, bioliquid or biomass fuel production process, calculated in accordance with the methodology laid down in Part C of Annex V or Part B of Annex VI;

  • Collateral Value The appraised value of a Mortgaged Property based upon the lesser of (i) the appraisal (as reviewed and approved by the Seller) made at the time of the origination of the related Mortgage Loan, or (ii) the sales price of such Mortgaged Property at such time of origination. With respect to a Mortgage Loan the proceeds of which were used to refinance an existing mortgage loan, the appraised value of the Mortgaged Property based upon the appraisal (as reviewed and approved by the Seller) obtained at the time of refinancing.

  • Initial Valuation means, when used with reference to specified Collateral, the Valuation initially performed for the Collateral as of the date on which the Collateral was added to the Collateral Pool. The Initial Valuation for each of the Initial Mortgaged Properties is as set forth in Exhibit A to the Agreement.

  • Initial Valuation Date means the Issue Date, provided that if such day is not an Exchange Business Day for a Reference Asset then the Initial Valuation Date for that Reference Asset will be the first succeeding day that is an Exchange Business Day, subject to the occurrence of a Market Disruption Event. See “DESCRIPTION OF THE NOTES – Market Disruption Event” below for further detail.

  • Rental Value means Business Income that consists of:

  • Incremental value means a figure derived by multiplying the marginal value of the property located within a project area on which tax increment is collected by a number that represents the adjusted tax increment from that project area that is paid to the agency.

  • Residual Value means, in respect of every Board Lot, an amount calculated by the Issuer in accordance with the following formula (and, if appropriate, either (I) converted (if applicable) into the Settlement Currency at the Exchange Rate or, as the case may be, (II) converted into the Interim Currency at the First Exchange Rate and then (if applicable) converted into Settlement Currency at the Second Exchange Rate):

  • RI Value means, in respect of a Reference Item and a ST Valuation Date, (i) the RI Closing Value for such Reference Item in respect of such ST Valuation Date, divided by (ii) the relevant RI Initial Value (expressed as a percentage).

  • Annual Valuation Date means the Valuation Date each calendar year so designated by the Trust, commencing in the calendar year 2003.

  • Worst Value means, in respect of a SPS Valuation Date, the lowest Underlying Reference Value for any Underlying Reference in the Basket in respect of such SPS Valuation Date.

  • Appraised Value The value set forth in an appraisal made in connection with the origination of the related Mortgage Loan as the value of the Mortgaged Property.

  • Base Residual Value means, for a Lease, the lower of (a) the Contract Residual Value of the Lease and (b)(i) the ALG Residual Value of the related Leased Vehicle or (ii) if the Servicer does not have an ALG Residual Value, the oldest ALG MTM Residual Value that the Servicer has for the related Leased Vehicle.

  • Cash Value Insurance Contract means an Insurance Contract (other than an indemnity reinsurance contract between two insurance companies) that has a Cash Value greater than $50,000.

  • Cash Value means the greater of (i) the amount that the policyholder is entitled to receive upon surrender or termination of the contract (determined without reduction for any surrender charge or policy loan), and (ii) the amount the policyholder can borrow under or with regard to the contract. Notwithstanding the foregoing, the term “Cash Value” does not include an amount payable under an Insurance Contract as: (1) a personal injury or sickness benefit or other benefit providing indemnification of an economic loss incurred upon the occurrence of the event insured against; (2) a refund to the policyholder of a previously paid premium under an Insurance Contract (other than under a life insurance contract) due to policy cancellation or termination, decrease in risk exposure during the effective period of the Insurance Contract, or arising from a redetermination of the premium due to correction of posting or other similar error; or (3) a policyholder dividend based upon the underwriting experience of the contract or group involved.

  • Final Valuation Date means the Final Valuation Date as specified in § 1 of the Product and Underlying Data. If the Final Valuation Date is not a Calculation Date the immediately following Banking Day which is a Calculation Date shall be the Final Valuation Date.

  • Portfolio Value means the aggregate amount of portfolio of investments including cash balance without netting off of leverage undertaken by the CDMDF.

  • Casualty Value means the market value of the Equipment at the end of the Term or when in relation to a Total Loss, the market value the Equipment would have had at the end of the Term but for the Total Loss. The Casualty Value may be less than but will not be more than the original purchase price of the Equipment.

  • Book Value Per Share is the Bank’s equity capital (excluding FAS 115 and FAS 158 adjustment and Extraordinary Items) at the end of the Plan Year divided by the Plan’s number of Phantom shares of one million three hundred sixty thousand (1,360,000).

  • Marginal Value means the difference between actual taxable value and base taxable value.
