Attached hereto as Schedule 6.7 are copies of the following financial statements of Company (the "Company Financial Statements"): Company's audited Balance Sheet as of December 31, 1997 and its audited Balance Sheet as of December 31, 1998 ("December Balance Sheet"), and audited Statements of Income, Retained Earnings and Cash Flows and any related notes thereto for the years ended December 31, 1997 and 1998 (December 31, 1998 being hereinafter referred to as the "Balance Sheet Date").
Company has delivered to Parent an accurate list (which is set forth on Schedule 6.9) of the accounts and notes receivable of Company, as of the most practicable date, including any such amounts which are not reflected in the December Balance Sheet, and including receivables from and advances to employees and Stockholders.
Except to the extent reflected on Schedule 6.9 or as disclosed by Company to Parent in a writing accompanying the A/R Aging Report, such accounts, notes and other receivables are collectible in the amounts shown on Schedule 6.9, and shall be collectible in the amounts shown on the A/R Aging Report, net of reserves reflected in the December Balance Sheet and as of the date of the A/R Aging Report, respectively.
None of the Plans has any unfunded liabilities which are not reflected on the Company December Balance Sheet and the Company August Interim Balance Sheet.
With respect each Employee Benefit Plan, all required payments, premiums, contributions, reimbursements or accruals for all periods (or partial periods) ending prior to or as of the Closing Date shall have been made or properly accrued on the Company December Balance Sheet and the Company August Interim Balance Sheet.
