The Deemed Earnings Estimate attached ------------------------ hereto as Schedule 2.4(a)-1 is a good faith estimate of the Company's earnings ----------------- for the calendar year ending on December 31, 1997, calculated in accordance with the procedure set forth on Schedule 2.4(a)-2.
The Borrower breaches any material representation, warranty, covenant or other term or condition of this Note in any material respect and such breach, if subject to cure, continues for a period of twenty (20) days after written notice to the Borrower from the Holder.
If the Stockholders do not deliver the Stockholders Notice within the Notice Period, the Deemed Earnings Actuals shall become final and binding upon all parties.
