For the avoidance of doubt, (a) the Company shall not exercise the Company Repurchase Right with respect to any shareholder of the Company without the prior written approval of the Board; and (b) no shareholder of the Company or Deemed Holder shall have any right to direct, instruct or demand the Company or the Board to exercise the Company Repurchase Right with respect to itself or any other shareholder of the Company.
