If the offer is accepted, the effective date of the sale shall be the day prior to the date upon which the Deemed Offer Event, which triggered the offer, occurs.
The CSDP hereby acknowledges and agrees that such instruction by YeboYethu in the Deemed Offer Notice shall be deemed to constitute an instruction by You and/or the Registered Shareholder as contemplated under this clause 16.

Secured Party shall have the right to sell, transfer, delegate or assign its rights, liabilities or obligations under this Agreement, the Promissory Notes, the Loan Documents, and any UCC-1 financing statements filed in connection herewith.
Each Deemed Offer Notice shall remain irrevocable and open for acceptance by the Deemed Offeree for a period of thirty (30) Days following the Reallocation Date (the "Allocable Share Acceptance Period").
