DEEMED OWNERSHIP definition

DEEMED OWNERSHIP means the aggregate number of shares of any class or series of Common Stock then held by such Person. For purposes of this Agreement, the "deemed owner" of Common Stock shall mean (i) the Person whose name or names in which shares are registered on the books of the Corporation or (ii) in the case of a beneficial owner of such shares which is the customer of a broker or dealer who is named (and/or whose intermediary is named) as the record owner of such shares, the Person who is such beneficial owner.
