Assuming that the collateral described in the Delaware Financing Statements is Rate Stabilization Bond Collateral pursuant to the Indenture, then insofar as Section 9-509 of the NY UCC is applicable, the Indenture Trustee is authorized to file the Delaware Financing Statements.
