Delayed Draw 1 Term Loan Commitment definition

Delayed Draw 1 Term Loan Commitment means, as to each Delayed Draw Term Loan Lender, its obligation to make Delayed Draw 1 Term Loans to the Parent Borrower pursuant to Section 2.01(a)(iv) of the Existing Credit Agreement in an aggregate amount not to exceed at any one time outstanding the amount set forth opposite such Lender’s name on Schedule 2.01B under the caption “Delayed Draw 1 Term Loan Commitment” or in the Assignment and Assumption pursuant to which such Delayed Draw Term Loan Lender becomes a party hereto, as applicable, as any such amount may be adjusted from time to time in accordance with this Agreement. The aggregate amount of the Delayed Draw Term 1 Loan Commitments as of the Closing Date is $750,000,000.
