Delivered Product definition

Delivered Product means Product actually Delivered to a Buyer pursuant to this Agreement. For the sole purpose of determining which week's Ammonia Market Price is in effect, Product is considered to be Delivered Product upon completion of loading of the Buyer's Vessel upon which such Product is to be transported, as evidenced by the relevant Bill of Lading.
Delivered Product means Product that has been delivered to the Buyer in accordance with clause 7. Duration Period has the meaning set out in clause 15.1.

Force Majeure has the meaning set out in clause 16.1. Incoterms has the meaning set out in clause 7.3 Independent Surveyor means an appropriately qualified independent surveyor company to carry out the quality, weight and size analysis of the Product under clause 9.3 and 9.4, to be jointly selected by the Parties from the list of surveyors set out in the attached Exhibit 1. Market Price is the price per Tonne for Product as the Buyer and Seller may agree for a particular Order prior to the initiation of such Order, acting in good faith, reasonably and having due regard to market related variables including but not limited to signs of shortages, excess inventories or changes in supply or demand for the product applicable in the worldwide market for the Product. The Market Price including the premium or discount to the Provisional Price (if any) shall be mutually agreed between the Parties in writing during the Quotation Period and prior to any Shipment being dispatched and adjusted for any differences applicable by reference to the applicable Incoterms. Market Price 1 determined in accordance with clause 10.2 (a) of this Agreement. Market Price 2 determined in accordance with clause 10.2 (b) of this Agreement. Order means a written notification by the Buyer to the Seller in respect of a particular order of Product to be made pursuant to this Agreement, which shall include the details required by clause 6.2.

Examples of Delivered Product in a sentence

  • Buyer shall be responsible for all costs and expenses associated with receiving the Delivered Product from Seller.

  • Licensor shall make commercially reasonable efforts to promptly correct and replace such rejected Delivered Product.

  • If, however, Licensor fails to deliver an acceptable replacement Delivered Product within sixty (60) days of the original delivery date, Creative shall, at its option, have the right to terminate this Agreement and Licensor shall pay to Creative a penalty payment for each instance of failure under this Section 11.1, in the amount of $25,000.00.

  • If Creative rejects any Delivered Products, Creative shall provide reasons for its rejection and shall, at the request of Licensor, return the rejected Delivered Product to Licensor.

  • In case the Buyer failed to claim the Seller on the Delivered Product within thirty (30) calendar days from the Date of delivery, such delivered Product shall be deemed accepted by the Buyer and in accordance with the terms of this Agreement and further claims on such delivered Product is not permitted and may not be enforced.

  • SIE shall only be taken to have exercised its rights under this Section 9 in respect of any Digitally Delivered Product in a particular country where SIE's activities in respect of that Digitally Delivered Product are directed at that country.

  • If Publisher has a good faith and reasonable belief that SIE has not provided accurate information and owes Publisher payment under this Section 15.2 as a result, then Publisher may, upon describing in detail the basis for its reasonable belief and providing objective evidence indicating that SIE has underpaid, request additional, supporting documentation from SIE to verify the resale of Digitally Delivered Product to Users.

  • Seller will provide Buyer with NERC e-Tag and meter data for all Delivered Product.

  • Where a User downloads a Digitally Delivered Product (including Digitally Delivered Products made available to end users for free), SIE reserves the right to charge Publisher for the cost attributable to bandwidth for such downloads at the current, standard rate set by the applicable SIE Company and specified in the Guidelines.

  • The price for such Deemed Delivered Product shall be determined in accordance with Schedule 1.42.
