All distributions pursuant to Section 15(a)(C)(3) to Call Holders exercising Call Rights on such Change of Control Purchase Date and to Certificateholders to whom Delivery Certificates were delivered in accordance with Section 2.02(d) of the Warrant Agreement are deemed for all purposes to be payments on Certificates acquired and held by holders of Call Warrants upon the exercise of Call Warrants.
