Demutualization Proceeds means the Net Proceeds received by the Company pursuant to the demutualization of The Prudential Insurance Company of America, including Net Proceeds received by the Company from the sale of shares of capital stock in Prudential Financial, Inc. issued to the Company in connection with such demutualization.
