Densify Subscription Offering definition

Densify Subscription Offering means the Densify cloud and container software as a service (SaaS) offering hosted by Densify or its subcontractors and ordered by Customer pursuant to an Order. A description of the principal features of the Densify Subscription Offering is set out in Schedule AProduct Description, located at xxxx://xxx.xxxxxxx.xxx/legal/schedule-a-cco, which Schedule is incorporated into this Agreement by reference and is deemed to be a part hereof. This Schedule may be updated by Xxxxxxx from time to time. The Densify Subscription Offering shall also include any Densify Add-On Options that have been ordered by Customer pursuant to an Order.
Densify Subscription Offering means the Intel Cloud Optimizer version of the Densify software as a service (SaaS) offering hosted by Densify or its subcontractors and ordered by Customer pursuant to an ICO Order. A description of the principal features of the Intel Cloud Optimizer version of the Densify Subscription Offering is set out in Schedule A – Intel Cloud Optimizer Description, located at xxxx://xxx.xxxxxxx.xxx/legal/schedule-a-ICO, which Schedule is incorporated into this Agreement by reference and is deemed to be a part hereof. This Schedule may be updated by Xxxxxxx from time to time. The Densify Subscription Offering shall also include any Densify Add-On Options that have been ordered by Customer pursuant to an ICO Order.

Examples of Densify Subscription Offering in a sentence

  • Customer’s right to use the Open Source Third Party Software provided hereunder is solely as accessed through the Densify Subscription Offering and incorporated in the Local Component.

  • The Courts are the referral source for West, Harbor and Harbor/S Justice Centers.

  • Customer hereby agrees not to make any modification to any Open Source Third Party Software for use with the Densify Subscription Offering or the Local Component.

  • Customer shall use the Densify Subscription Offering in accordance with the Documentation and only for its internal business purposes.

  • The Documentation may be used by Customer for the purpose of assisting in its use of the Densify Subscription Offering and the Local Component for the internal business purposes of Customer.

  • Customer shall not use or access the Densify Subscription Offering in a manner that exceeds Customer’s authorized use as set forth in this Agreement and the applicable Quote and/or Order.

  • Densify shall within thirty (30) days following the effective date of termination by Customer for Xxxxxxx’s breach, refund to Customer all prepaid fees received by Xxxxxxx for the remaining portion of the Subscription Term for the affected Densify Subscription Offering after the date of termination.

  • Customer shall use or access the Densify Subscription Offering in accordance with the Documentation and only for its internal business purposes to evaluate the Densify Subscription Offering.

  • Densify warrants that it has the right to license the Densify Subscription Offering and the Local Component to Customer.

  • Densify hereby grants Customer a limited, personal, non-transferrable (except as permitted in Section 13.c) and non-exclusive license in the Territory and during the Subscription Term to install and use the Local Component on machines operated by or for Customer, if required for the collection of the Customer Data and solely to facilitate Customer’s authorized access to and use of the Densify Subscription Offering.

  • Subscription Offering means the offering of the Conversion Stock to Participants.

  • Initial Offering means the Company’s first firm commitment underwritten public offering of its Common Stock registered under the Securities Act.

  • Offering shall have the meaning ascribed to such term in Section 2.1(c).

  • Piggyback Offering has the meaning set forth in Section 8(a).

  • User Subscriptions means the user subscriptions purchased by the Customer and set out in the Subscription Order Form which entitle Authorised Users to access and use the Services in accordance with this Agreement.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Offering Shares means the shares of Common Stock included in the Units issued pursuant to this Agreement and Investor Warrant Shares.

  • Annual Subscription means the subscription paid by a member in accordance with the Registered Clubs Act and being paid either annually or otherwise.

  • Offerees has the meaning set forth in Section 5.4(a).

  • Maximum Offering means, with respect to some or all participants in the Non-423(b) Plan Component, a maximum number or value of shares of the Common Stock made available for purchase in a specified period (e.g., a 12-month period) in specified countries, locations or to Employees of specified Designated Subsidiaries. Such maximum shall be determined by the Board (or a committee authorized by the Board) in such a manner as to avoid securities filings, to achieve certain tax results or to meet other Company objectives.

  • Minimum Offering means the number Shares so designated on Exhibit A hereto.

  • Rights Offering Shares means the shares of New Common Stock (including all Unsubscribed Shares purchased by the Commitment Parties pursuant to this Agreement) distributed pursuant to and in accordance with the Rights Offering Procedures.

  • Subscription Start Date means the date specified in the Order Form.

  • Limited Offering means an offering that is exempt from registration under the Securities Act of 1933 pursuant to Section 4(2) or Section 4(6) or pursuant to Rule 504, Rule 505, or Rule 506 under the Securities Act of 1933.

  • Subsequent Offering means any further issuance of Interests in any Series, excluding any Initial Offering or Transfer.

  • Subscription Service means the ServiceNow software-as-a-service offering ordered by Customer under an Order Form, Use Authorization or other signed ordering document between ServiceNow and Customer.

  • Qualified Offering means an offering of Common Stock (and other securities potentially) resulting in the listing for trading of the Common Stock on the NYSE American, the Nasdaq Capital Market, the Nasdaq Global Market, the Nasdaq Global Select Market or the New York Stock Exchange (or any successors to any of the foregoing).

  • Minimum Offering Notice means a written notification, signed by Broker, pursuant to which the Broker shall represent (1) that subscriptions for the Minimum Offering have been received, (2) that, to the best of Broker’s knowledge after due inquiry and review of its records, Cash Investment Instruments in full payment for that number of Shares equal to or greater than the Minimum Offering have been received, deposited with and collected by NCPS, (3) and that such subscriptions have not been withdrawn, rejected or otherwise terminated, and (4) that the Subscribers have no statutory or regulatory rights of rescission without cause or all such rights have expired.

  • Rights Offering has the meaning set forth in Section 4.1(b);

  • Subscription means the capital stock of the Bank subscribed to by a member.

  • Community Offering means the offering for sale by the Holding Company of any shares of Conversion Stock not subscribed for in the Subscription Offering to such Persons within or outside the State of Louisiana as may be selected by the Holding Company and the Bank in their sole discretion and to whom a copy of the Prospectus is delivered by or on behalf of the Holding Company.

  • Initial Offering Period means the period commencing with the initial effective date of the Prospectus and terminating no later than the ninetieth (90th) day following such date unless extended for up to an additional 90 days at the sole discretion of the General Partner.

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Offered Units shall have the meaning set forth in Section 11.1 hereof.

  • Qualified Initial Public Offering means a public offering of the securities of Parent pursuant to an effective registration statement filed under the Securities Act, that is fully underwritten pursuant to a firm commitment contract and with respect to which the product of (a) the price to the public per share multiplied by (b) the aggregate number of offered shares will yield Net Offering Proceeds of at least $50,000,000.

  • Shelf Offering has the meaning set forth in Section 1(d)(i).
