The Trustee's certification shall be delivered to the Depositor by no later than March 18th of each year (or if such day is not a Business Day, the immediately preceding Business Day) and the Depositor shall deliver the Depositor Certification to the Trustee for filing no later than March 20th of each year (or if such day is not a Business Day, the immediately preceding Business Day).
The Depositor shall subsequently deliver to the Trustee the executed Depositor Certification no later than the date on which the annual report on Form 10-K is required to be filed.
Not later than 5 Business Days before the date on which the Depositor’s annual report on Form 10-K is required to be filed in accordance with the Exchange Act and the rules and regulations of the Commission, the Depositor will deliver to the Trustee a form of the Depositor Certification.
The Depositor shall subsequently deliver to the Trustee the executed Depositor Certification no later than the date on which the Form 10-K is required to be filed.

The Form 10-K shall also include a certification in the form attached hereto as Exhibit W (the "Depositor Certification"), which shall be signed by the senior officer of the Depositor in charge of securitization.
Such Form 10-K shall include the Assessment of Compliance, Attestation Report, Annual Compliance Statements and other documentation provided by the Master Servicer pursuant to Sections 3.16 and 3.17 and a certification in the form attached hereto as Exhibit K (the "Depositor Certification"), which shall be signed by the senior officer of the Depositor in charge of securitization.
The Form 10-K shall also include a certification in the form attached hereto as Exhibit T (the "Depositor Certification"), which shall be signed by the senior officer of the Depositor in charge of securitization.
Notwithstanding any term to the contrary, an appropriate officer of the Depositor shall be responsible for signing, and shall sign, any such Form 10-K and the related Depositor Certification that may be required to be filed with the Commission in connection therewith.
Such Form 10-K shall include the Assessment of Compliance, Attestation Report, Annual Compliance Statements and other documentation provided by the Servicer pursuant to Sections 3.17 and 11.07, a certification in the form attached hereto as Exhibit O-1 (the "Depositor Certification"), which shall be signed by the senior officer of the Depositor in charge of securitization, and an accountant's report described under Section 11.07.
