Within 30 days of the Closing Date, ETSI shall prepare and deliver to Lydall a statement setting forth the depreciation expense on the fixed assets of ETSI on a consistent basis with prior years, covering the period from January 1, 1998 through the closing date (Depreciation Adjustment).
Lydall agrees to wire the amount to ETSI, within five business days of Lydall's acceptance of the Fixed Asset and Tooling Statement, net of any Depreciation Adjustment determined in accordance with Section 4.07.
