DES SPA FM Claim as defined in Paragraph 5.2 of Schedule 1; Direct Agreement: as defined in Clause 25.4.2; Dispute: any dispute or claim arising out of or in connection with this Agreement or the subject matter, existence, negotiation, interpretation, validity, termination or enforceability of this Agreement (including any non-contractual dispute or difference), together with any Related Agreement Dispute commenced in the same Request for Arbitration;
