Design Materials Inventory means any Materials necessary to perform the Design Services.

  • Customer acknowledges and agrees that any Materials that Customer authorizes Flextronics to purchase through the issuance of a purchase order for Product prior to Customer’s final acceptance of the Design Deliverables pursuant to Section 7.1 below are considered Design Materials Inventory and subject to the terms of this Section 5.4.

  • In the event that any of the foregoing remedies cannot be effected on commercially reasonable terms, then, all accepted purchase orders and the current forecast will be considered cancelled and Customer shall purchase all Products, Design Materials Inventory, Inventory and Special Inventory as provided in Sections 5.4, 6.3, 6.4 and 6.5 hereof, as applicable.

  • Customer's accepted purchase orders for Design Services authorize Flex to procure, without Customer’s prior approval, Design Materials Inventory covered by such purchase orders, as applicable, based on the Lead Time.

  • Customer shall pay Flex a monthly carrying fee of one and half percent (1.5%) for all Design Materials Inventory that has been held by Flex for longer than 30 days from receipt at Flex’s facility and that is not covered by a purchase order backlog deliverable in the next thirty (30) days under a Design Statement of Work.

  • Expiration or termination of this Agreement under any of the foregoing provisions: (a) shall not affect the amounts due under this Agreement by either party that exist as of the date of expiration or termination, and (b) shall cause the provisions of Sections 4.3 to apply with respect to payment and shipment to Customer of Design Materials Inventory in existence as of such date.

  • Expiration or termination of this Agreement under any of the foregoing provisions: (i) shall not affect the amounts due under this Agreement by either party that exist as of the date of expiration or termination; and (ii) shall cause the provisions of Section 4.6 to apply with respect to payment and shipment to Customer of finished Products, Design Materials Inventory, Inventory, and Special Inventory in existence as of such date.

Related to Design Materials Inventory

  • Goods/Materials means any of the articles, materials, machinery, equipments, supplies, drawing, data and other property and all services including but not limited to design, delivery, installation, inspection, testing and commissioning specified or required to complete the order.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Product Inventory means all inventory of the Product owned by Seller or its Affiliates as of the Closing, including raw materials, work-in-process, bulk form drug and finished Product.

  • Raw Materials means all raw materials, supplies, components and packaging necessary to manufacture and ship the Product in accordance with the Specifications, as provided in Exhibit A, but not including the API.

  • Cost of materials means the cost of components, parts or materials which are intended for the production, manufacturing or assembling of the goods bid for and which are not produced, manufactured or assembled in the factory where the production, manufacture or assembly of such goods occurs, including freight, landing costs, port charges, import duties and other import costs of such components, parts or materials and all costs in connection with the handling and transport thereof prior to delivery at that factory;

  • Tooling means tools funded or provided by the Buyer.

  • Eligible Finished Goods Inventory means all Finished Goods Inventory that is Eligible Inventory.

  • Finished Goods means units of a manufactured product awaiting sale.

  • Drug Substance means an active ingredient that is intended to furnish pharmacological activity or other direct effect in the diagnosis, cure, mitigation, treatment, or prevention of disease or to affect the structure or any function of the human body, but does not include intermediates used in the synthesis of such ingredient.

  • Consumables means where the context permits, Digital Print Consumables, Inkjet Printing System Consumables and Prepress Consumables.

  • Manufacturing Site means the facilities where a Compound is Manufactured by or on behalf of a Party, as such Manufacturing Site may change from time to time in accordance with Section 8.7.

  • SAP Materials means any materials (including statistical reports) provided, developed or made available by SAP (independently or with Customer’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Professional Services to Customer. SAP Materials do not include the Customer Data, Customer Confidential Information or the Cloud Service. SAP Materials may also be referred to in the Agreement as “Cloud Materials”.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Construction materials means any tangible personal property that will be

  • Manufacturing Facility means buildings and structures, including machinery and equipment, the primary purpose of which is or will be the manufacture of tangible goods or materials or the processing of such goods or materials by physical or chemical change.

  • Supplier Equipment means the Supplier's hardware, computer and telecoms devices, equipment, plant, materials and such other items supplied and used by the Supplier (but not hired, leased or loaned from the Customer) in the performance of its obligations under this Call Off Contract;
