Development Investment definition

Development Investment means the amount as stated in Clause 7 of this Agreement (subject to Provisos 7.1(a) and (b)) to be paid or incurred by the Lessee in the development of the whole of the IR2 in:
Development Investment has the meaning specified in clause (a) of the definition ofSpecified Investments”.
Development Investment means (a) a loan by Company or a Subsidiary of Company to a Developer, the proceeds of which are to be used to finance a Development Project of such Developer, (b) a cash contribution by Company or a Subsidiary of Company to the capital of a Developer, the proceeds of which are to be used to finance a Development Project of such Developer, or (c) a contribution by Company or a Subsidiary of Company to the capital of a Developer of an interest of Company or such Subsidiary in a Development Site. The amount of any Development Investment shall be the amount of cash loaned or contributed to a Developer for the purpose specified above or the fair market value of the interest of a Development Site contributed to the capital of a Developer, which fair market value shall be determined, without regard to the proposed investment, at the time of such contribution in good faith by resolution of the Board of Directors of Company, in each case minus the amount of cash received by Company or any of its Subsidiaries in repayment of such Development Investment.

Development Investment means (a) a loan by Company or a Subsidiary of Company to a Developer, the proceeds of which are to be used to finance a Development Project of such Developer, (b) a cash contribution by Company or a Subsidiary of Company to the capital of a Developer, the proceeds of which are to be used to finance a Development Project of such Developer, or (c) a contribution by Company or a Subsidiary of Company to the capital of a Developer of an interest of Company or such Subsidiary in a Development Site, but in any event excluding any California Development Investments. The amount of any Development Investment shall be the amount of cash so loaned or contributed or the fair market value of the interest of a Development Site so contributed, which fair market value shall be determined, without regard to the proposed investment, at the time of such contribution in good faith by resolution of the Board of Directors of Company, in each case minus the amount of cash received by Company or any of its Subsidiaries in repayment of such Development Investment.
Development Investment means an Investment which, as of the expected Acquisition Date: (A) is located in one of the Primary Markets; and (B) has one or more of the following characteristics: (I) unimproved land with the intent of constructing necessary horizontal and vertical improvements in accordance with market specific institutional-quality, Class-A specifications; or (II) is to be acquired from a developer upon completion.

Development Investment means Investment expenditure relating to the construction of new assets, but not including Current Investment.
Development Investment shall have the meaning set forth in Section 8.5(2).
