Development Materials definition

Development Materials means all engineering plans and specifications, development plans, site plans, architectural drawings, specifications and other plans prepared by Lessee, or any third party designer, architect, engineer or contractor, for the Project, surveys, soils tests, water and water well tests, zoning materials, title reports, instruments of record, architectural studies, endangered species studies, drainage studies, engineering studies and planning and zoning studies, engineering, design and other consulting and construction contracts relating to the Premises or the Project or any infrastructure improvements required under any Entitlements.
Development Materials means the Development Software and the Development Documentation. “Development Materials Acceptance Date” means the date set out in a Development Services Order.
Development Materials are APIs, development tools, specification, documentation, sample Software code or other development materials that ServiceNow may from time to time make available to Customer for the express purpose of facilitating development of Custom Applications or customizing ServiceNow Applications.

  • Promptly after the Effective Date and pursuant to the terms of the Supply Agreement, Cyclerion shall supply Akebia with all Development Materials that Cyclerion controls, including those materials in the possession of Cyclerion’s Third Party contract manufacturers, and that are listed on Schedule 11.1(u), at no cost to Akebia, and Cyclerion shall transfer title to Akebia to all such Development Materials in accordance with the terms of the Supply Agreement.

  • Cyclerion hereby agrees to manage any storage, handling, and shipment of such inventory in accordance with Akebia’s reasonable written directions and, as applicable, the terms of the Supply Agreement, including by transferring such Development Materials to Akebia or its designee at Akebia’s direction.

  • Akebia shall reimburse Cyclerion all reasonable costs incurred by Cyclerion or its Affiliates in connection with the storage of such Additional Development Materials during such [**] period until delivery thereof to Akebia, within [**] after receipt of an invoice therefor.


More Definitions of Development Materials

Development Materials means SDKs (software development kits) and other toolkits, libraries, scripts, reference or sample code, and similar developer materials included in the Service Offering.

Development Materials means (a) the source code for the software and any version of the Complete System, together with all Development Documentation related or pertaining to the software and the Complete System that is or comes to be in the possession of or under the control of Mednet or any of its Affiliates; (b) a reasonably detailed description of all material problems, workarounds and root cause analyses related to the Complete System to the extent such information has been documented in the Development Documentation or the user documentation; (c) a reasonably detailed description of all third-party software (and all significant enhancements, modifications or customizations thereto) used from time to time in the operation and maintenance of the Complete System; and (d) a reasonably detailed description of the hardware requirements and configurations for the operation and maintenance of the Complete System as provided hereunder. Without limiting the foregoing, insofar as the “development environmentemployed by Mednet or its Affiliates for the development, maintenance and implementation of the Complete System includes any device, software or documentation not commercially available to Transoma on commercially reasonable terms through readily known sources other than Mednet, the Development Materials shall include all such devices, software or documentation. The foregoing reference to such “development environment” is intended to apply to any programs, including compilers, “work-benches” tools, and higher-level (or “proprietary”) languages, used by Mednet for the development, maintenance, and implementation of the Complete System.
Development Materials means animal models, cell lines, tissue samples, genes, plasmids, siRNAs, constructs, vectors, receptors and other proteins, peptides, and other biological materials related to RNAi Therapeutics that in each case are used in or that may be necessary or useful to conduct the Collaboration.
Development Materials means the materials licensed in the Developer’s Agreement (defined below), specifically, the “Licensed Materialsto the extent that Licensee/Developer incorporated those Materials into the interface developed under the Developer’s Agreement and to the extent that those interfaces are derived from the Materials.
