None of the Development Reports nor the System Plans shall amend or modify this Agreement in any way.
Upon request, Contractor shall provide CO and COR with the following contract funded documents as specified below but not limited to: Process Development Reports; Assay Qualification Plan/Report, Assay Validation Plan/Report, Assay Technology Transfer Report, Batch Records, Contractor/Subcontractor Standard Operating Procedures (SOP’s), Master Production Records, Certificate of Analysis, Clinical Studies Data or Reports.
Development Reports shall also set forth a general assessment regarding the achievement of any milestones; the projected – or actual – completion date of the development of a Product and the marketing thereof; as well as a description of any corporate transaction involving the Products or the Licensed Technology.
Licensee’s Confidential Information includes but is not limited to the Development Plan, Development Reports and all other financial and business reports, strategies, and agreements (including Sublicenses) of Licensee.
Such Development Reports shall be furnished annually until the First Commercial Sale.
