Direct Development Cost definition

Direct Development Cost means (a) costs directly attributable to an activity (i.e., those costs which vary with such activity), including, but not limited to, direct labor and benefit expenses for such activity and consumable bulk and other materials, as determined in accordance with United States generally accepted cost accounting practices consistently applied, plus (b) fixed overhead costs allocable to the activity, including, but not limited to, direct benefit and labor expenses for technical services and support services, depreciation, maintenance and repairs and insurance costs associated with such activity, as determined in accordance with United States generally accepted cost accounting practices consistently applied. In no event shall any costs included in Direct Manufacturing Costs be included in Direct Development Costs.
Direct Development Cost means (i) actual Third Party charges and fees paid by ViaCell [**], (ii) ViaCell's labor cost directly [**], and (iii) ViaCell's labor cost and actual Third Party charges and fees paid by ViaCell [**]. All ViaCell labor costs included under "Direct Development Cost" shall be charged at [**].
