Directed Offer definition

Directed Offer means any so-called “registered direct” sale, block trade or other similar offering or Transfer that is not widely distributed.

Examples of Directed Offer in a sentence

  • If at any time prior to September 30, 1996, Great Bay requires PECO to make a Great Bay Directed Offer after PECO has provided Great Bay with such notice under Section 4(a), PECO may terminate the Agreement upon ninety (90) days' prior written notice to Great Bay.

  • At the request of Great Bay, PECO shall offer for sale or use all or any portion of uncommitted Initial Power Amount on such terms and conditions as Great Bay shall direct, provided that the offer for sale is for a term of at least six (6) months in duration and that Great Bay shall not compel PECO to offer a Firm Energy Transaction, ("Great Bay Directed Offer").

  • In a Directed Offer sale, the price specified by the Company takes the place of the Appraised Value Price, and the procedures otherwise applicable to an Appraised Value Sale apply.

  • Permitted Offer means a tender offer or an exchange offer for all outstanding Common Shares of the Company determined by the Board of Directors of the Company, after receiving such advice as it deems necessary and giving due consideration to all relevant factors, to be in the best interests of the Company and its stockholders.

  • Qualified Offer shall have the meaning set forth in Section 11(a)(ii) hereof.

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • Limited Offering means an offering that is exempt from registration under the Securities Act of 1933 pursuant to Section 4(2) or Section 4(6) or pursuant to Rule 504, Rule 505, or Rule 506 under the Securities Act of 1933.

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Bona Fide Offer means an actual or genuine offer which includes a specific wage or a training opportunity at a specified place when used to determine whether the parent has refused an offer of training or employment.

  • Initial Offering means the Company’s first firm commitment underwritten public offering of its Common Stock under the Act.

  • Delayed Offering means an offering of securities pursuant to Rule 415 which does not commence promptly after the effective date of a registration statement, with the result that only information required pursuant to Rule 415 need be included in such registration statement at the effective date thereof with respect to the securities so offered. Whether the offering of the Securities is a Non-Delayed Offering or a Delayed Offering shall be set forth in Schedule I hereto.

  • Initial Offering Period means the initial period during which a Series of the Trust will offer its Shares prior to the commencement of investment operations of such Series;

  • Net Proceeds Offer Payment Date has the meaning set forth in Section 4.16.

  • Offered Amount has the meaning set forth in Section 2.05(a)(v)(D)(1).

  • Credit-Limited Offer means a Sell Offer that is submitted by a Market Participant in an RPM Auction subject to a maximum credit requirement specified by such Market Participant.

  • Reinvestment Notice a written notice executed by a Responsible Officer stating that no Event of Default has occurred and is continuing and that the Borrower (directly or indirectly through a Subsidiary) intends and expects to use all or a specified portion of the Net Cash Proceeds of an Asset Sale or Recovery Event to acquire or repair assets useful in its business.

  • Offer Shares means the Hong Kong Offer Shares and the International Offer Shares being offered at the Offer Price under the Global Offering together with any additional Shares to be issued pursuant to the exercise of the Over-Allotment Option;

  • Offer Notice shall have the meaning set forth in Section 4.1.
