Directed Opportunity has the meaning set forth in Section 5.3.

Examples of Directed Opportunity in a sentence
Notwithstanding the foregoing, any individual who is offered a particular investment or business opportunity in his or her capacity as an Observer of the Company (a “Directed Opportunity”) shall be obligated to communicate such Directed Opportunity to the Company and may not communicate such Directed Opportunity to any other Person unless and until the Company has determined not to pursue such Directed Opportunity.
Notwithstanding the foregoing, a Sponsor Nominee who is offered an opportunity expressly in his or her capacity as a director of the Company (a “Directed Opportunity”) shall be obligated to communicate such Directed Opportunity to the Company.
