Examples of Director Awards in a sentence

  • If Director does not consent, or if Director later seeks to revoke his or her consent, his or her status with the Company will not be affected; the only consequence of refusing or withdrawing Director’s consent is that the Company would not be able to grant Director Awards or other equity awards or administer or maintain such awards.

  • The Board may delegate to the Committee or to another committee of the Board, its administrative functions under this Plan with respect to Director Awards subject to such conditions or limitations as the Board may establish.

  • Without limiting the type or number of Director Awards that may be made under the other provisions of this Plan, a Director Award may be in the form of a Performance Award.

  • The Board shall have the same powers, duties and authority to administer and interpret the Plan and all Director Awards outstanding under the Plan as the Committee retains with respect to Employee Awards, as described above.

  • Director Awards may consist of those listed in this paragraph 8(a) and may be granted singly, in combination or in tandem.

  • All Non-Employee Directors of the Corporation are eligible for Director Awards under this Plan in the sole discretion of the Board.

  • Unless you make a deferral election in accordance with Section 4 of this Agreement, the grant of Units under this Agreement will be eligible for the Company’s Director Awards Tax Policy.

  • Awards other than Nonemployee Director Awards are granted solely at the discretion of the Committee.
