Director Designee definition

Director Designee means a person designated by the director to carry out duties and responsibilities required of the director and/or the department.

Director Designee means a Person designated for election to the Board for whom the Stockholders’ Committee is required to vote pursuant to Section 5.1(a).

Director Designee means a person serving on the Board as a director or alternate director who was designated for election by a Shareholder pursuant to Section 2.2(a).

Examples of Director Designee in a sentence

• The election of the Redeemable Preferred Stock Director Designee by the holders of the Redeemable Preferred Stock shall occur (i) at the annual meeting of holders of capital stock, (ii) at any special meeting of holders of capital stock, (iii) at any special meeting of holders of Redeemable Preferred Stock called by holders of a majority of the outstanding shares of Redeemable Preferred Stock or (iv) by the unanimous written consent of holders of the outstanding shares of Redeemable Preferred Stock.

• If at any time when any share of Redeemable Preferred Stock is outstanding the Redeemable Preferred Stock Director Designee should cease to be a Director for any reason, the vacancy shall only be filled by the vote or written consent of holders of the outstanding shares of Redeemable Preferred Stock, voting together as a separate class, in the manner and on the basis specified above.

• The provisions of this Section 2.6 are intended to be for the benefit of, and shall be enforceable by, the Company Director Designee.

• Except as set forth above with respect to the election of the Redeemable Preferred Stock Director Designee, the holders of Redeemable Preferred Stock shall not be entitled to vote on any matters except to the extent otherwise required under the General Corporation Law of the State of Delaware.

• The EP can encourage talk about the problem separately and use a range of tools to widen the focus from a narrow perspective of pathology.

More Definitions of Director Designee

Director Designee means a PEP Designee or a Silver Lake Designee.
