Disclosed Schemes definition

Disclosed Schemes has the meaning set forth in Section 5.19.

Disclosed Schemes means the Greyfriars Pension Scheme established pursuant to a trust deed dated 5 December 1997 (the "GREYFRIARS SCHEME"), the occupational scheme insured with the Standard Life (the "STANPLAN A") and the group personal pension scheme insured with the Standard Life (the "GROUP PLAN");

Disclosed Schemes means the Perfect Pizza Limited Group Personal Pension Plan (“the GPPP”) with Prudential and the Perfect Pizza Limited Pension Scheme (“the Final Salary Scheme”);

Examples of Disclosed Schemes in a sentence

• Except for the Disclosed Schemes, no Group Company participates in or contributes to any personal pension schemes or occupational pension schemes, or other scheme (in any jurisdiction in which a Group Company carries on business) the main or only purpose of which is to provide pension, retirement or death benefits for any of its employees or for the widow, widower, child or dependant of any such employee.

• Apart from the Disclosed Schemes, no Group Company has any liability to pay any pension or life assurance benefit to any Employee or former employee of any Group Company or any dependant of any of them.

• Subsidiary or Seller (or, to the Knowledge of Seller, any other person whom the UK Subsidiary or the Seller are liable to indemnify or compensate) in respect of any matter arising out of the Disclosed Schemes, and to the Knowledge of Seller, no such claim or complaint is currently threatened.

• The Group Companies and the Disclosed Schemes comply, and have at all times complied, with all legal and regulatory requirements relevant to the Disclosed Schemes in any jurisdiction in which the Disclosed Schemes operate, and no Group Company is in breach of any of such legal or regulatory requirements in any jurisdiction in which any of the Disclosed Schemes operate.

• All benefits under the Disclosed Schemes (other than those which are fully insured) are calculated on a money purchase basis only and there is no obligation on the Group Companies or under the Disclosed Schemes (other than in the case of those benefits which are fully insured) to provide any specified level of benefits.

Life Insurance Scheme (provided by Metropolitan Life Insurance Company of Honk Kong Limited). France:- Additional Pension Plan for one employee only (Xxxxxxxx Mastroberardion, Director Development TMT France) (provided via Sante Gestion Plus (broker) and Generali France (provider). Life Assurance Scheme (provided via Sante Gestion Plus (broker) and Generali France (provider). India:- Life Insurance Group Gratuity Scheme (provided by Life Insurance Corporation of India).

Disclosed Schemes means all of them;

Disclosed Schemes means (a) the defined contribution money purchase group personal pension scheme operated by the Company, administered by Clerical Medical (the “Group Personal Pension Scheme”), (b) the approved life assurance scheme operated by the Company, (c) the unapproved life assurance scheme operated by the Company, and (d) the permanent health insurance plan operated by the Acquired Companies;

Disclosed Schemes means the arrangements that have been disclosed in the Disclosure Letter; and

Disclosed Schemes means the Pensions Scheme and the personal pension scheme established by certain of the employees of the Company and to which the Company contributes;

Disclosed Schemes means the retirement benefit schemes details of which are set out in schedule 7;
