Disclosed Schemes has the meaning set forth in Section 5.19.

Disclosed Schemes means the Perfect Pizza Limited Group Personal Pension Plan (“the GPPP”) with Prudential and the Perfect Pizza Limited Pension Scheme (“the Final Salary Scheme”);

Disclosed Schemes means the Greyfriars Pension Scheme established pursuant to a trust deed dated 5 December 1997 (the "GREYFRIARS SCHEME"), the occupational scheme insured with the Standard Life (the "STANPLAN A") and the group personal pension scheme insured with the Standard Life (the "GROUP PLAN");

• All information set out in the Data Room in connection with the Disclosed Schemes is complete and accurate (and not misleading) in all material respects.

• Save for the Disclosed Schemes, there is not in operation, and no proposal has been announced to enter into or establish, any agreement, arrangement, custom or practice for the payment of, or payment of a contribution towards, a pension, allowance, lump sum or other similar benefit on retirement, death, termination of employment (whether voluntary or not) for the benefit of a Relevant Employee or a Relevant Employee’s dependants.

• Except for the Disclosed Schemes, no Group Company participates in or contributes to any personal pension schemes or occupational pension schemes, or other scheme (in any jurisdiction in which a Group Company carries on business) the main or only purpose of which is to provide pension, retirement or death benefits for any of its employees or for the widow, widower, child or dependant of any such employee.

• All employer and employee contributions to the Disclosed Schemes have been made promptly at the time that they were due.

• Each Group Company has paid all contributions and premiums which have fallen due for payment by it to the Disclosed Schemes.

Disclosed Schemes means (a) the defined contribution money purchase group personal pension scheme operated by the Company, administered by Clerical Medical (the “Group Personal Pension Scheme”), (b) the approved life assurance scheme operated by the Company, (c) the unapproved life assurance scheme operated by the Company, and (d) the permanent health insurance plan operated by the Acquired Companies;

Disclosed Schemes means the schemes known as UK:- the Travelex Group Personal Pension Plan , the Group Stakeholder Pension Scheme, (both of which are operated by Scottish Equitable plc), the Travelex Partners Life Assurance Benefit available under the Flexible Benefits Scheme only) (provided by Legal and General) and the Travelex Lump Sum Life Assurance Benefit and the Dependents Death in Service Pension (provided by Canada Life). Asia:- the ORSO Pension Scheme (closed), the Mandatory Provident Fund (open) (both of which are operated by HSBC). Life Insurance Scheme (provided by Metropolitan Life Insurance Company of Honk Kong Limited). France:- Additional Pension Plan for one employee only (Xxxxxxxx Mastroberardion, Director Development TMT France) (provided via Sante Gestion Plus (broker) and Generali France (provider). Life Assurance Scheme (provided via Sante Gestion Plus (broker) and Generali France (provider). India:- Life Insurance Group Gratuity Scheme (provided by Life Insurance Corporation of India).

Disclosed Schemes means all of them;

Disclosed Schemes means the Sellers’ UK group personal pension plan, the UK defined contribution pension plan put in place for the Company before Completion for the Company Employees and the Voya 401K plan;

Disclosed Schemes means the Disclosed DB Scheme, the Disclosed DC Schemes and the Life Assurance Plan.
