  • The Receiving Party shall reimburse the Disclosing Party and the Disclosing Party Representatives for all costs and expenses (including legal costs) that the Disclosing Party and the Disclosing Party Representatives incur in enforcing the obligations of the Receiving Party or its Representatives or that are associated with claims arising out of the breach of this Agreement by the Receiving Party or its Representatives.

  • Each Disclosing Party shall be responsible for any breach of this Section 12.04 by its Disclosing Party Representatives.
