Contract Letter means the letter identifying those documents which form the Contract.
Investment Letter shall have the meaning specified in subsection 9.07(a).
Commitment Letter has the meaning set forth in Section 5.7.
Disbursement Letter means an instructional letter executed and delivered by Borrower to Agent regarding the extensions of credit to be made on the Closing Date, the form and substance of which is satisfactory to Agent.
Commitment Letters has the meaning set forth in Section 4.5.
Engagement Letter means that certain Engagement Letter, dated as of June 18, 2015, by and among the Borrower and the Arrangers.
Premium Letter means the letter agreement dated the Closing Date among LBAC, the Issuer and the Note Insurer referring to payment of the Premium.
Management Letter means formal communications from the auditor to the client management in accordance with the International Standard on Auditing 265 (communicating deficiencies in internal control to those charged with governance and management), which is not required to be provided separately as it is equivalent to the Audit Findings and Recommendations prepared by the Project auditor and submitted to ADB;
Agency Fee Letter means the administrative agency fee letter, dated as of the March 29, 2012, between the Company and the Administrative Agent.
Acceptance Letter means the letter from Adviser to BD pursuant to which the Adviser appoints BD as a Broker Dealer for each series of MuniPreferred issued by any Fund that has executed a Request Letter.
Equity Commitment Letter has the meaning set forth in Section 5.5(a).
Fee Letters means, collectively, (a) the Arranger Fee Letter and (b) the Administrative Agent Fee Letter.
Fee Letter means that certain fee letter, dated as of even date with this Agreement, among Borrowers and Agent, in form and substance reasonably satisfactory to Agent.
Debt Commitment Letter has the meaning set forth in Section 6.6.
Xxxxx Fargo Fee Letter means the letter agreement, dated August 13, 2010, among the Borrowers, Xxxxx Fargo Securities, LLC and Xxxxx Fargo Bank, National Association.
Replacement Letter of Credit means any letter of credit issued pursuant to a Replacement Revolving Facility.
Placement Agreement means the Placement Agreement relating to the offering and sale of Capital Securities in the form of Exhibit C.
Post Closing Letter is that certain Post Closing Letter dated as of the Effective Date by and between Collateral Agent and Borrower.
Equity Commitment Letters has the meaning set forth in Section 6.6(a).
Welcome Letter means the document entitled “welcome letter” containing important details about this group policy;
Debt Commitment Letters shall have the meaning set forth in Section 5.7(a), as supplemented by Section 6.11, as applicable.
Lender Fee Letter means each fee letter agreement that shall be entered into by and among the Borrower, the Servicer, the applicable Lender and its related Lender Agent in connection with the transactions contemplated by this Agreement, as amended, modified, waived, supplemented, restated or replaced from time to time.
Ratings Confirmation means, with respect to any action proposed to be taken, a written confirmation from each of the Rating Agencies that such action would not result in (i) a reduction of the rating for any Class of Certificates below the then current rating for such Class of Certificates or (ii) a withdrawal or suspension of the rating of any Class of Certificates.
Increase Confirmation means a confirmation substantially in the form set out in Schedule 12 (Form of Increase Confirmation).
Auto-Reinstatement Letter of Credit has the meaning specified in Section 2.03(b)(iv).
Pricing Agreement means the pricing agreement between the Trust, the Debenture Issuer, and the underwriters designated by the Regular Trustees with respect to the offer and sale of the Preferred Securities.
