Discount Securities definition

Discount Securities means Securities, other than Linked Securities, issued pursuant to this Indenture which are offered for a price less than the amount thereof to be due and payable at Maturity other than solely due to such amount being determined by application of a multiplier or leverage factor.

  • If the principal amount of any Security surrendered for repayment shall not be so repaid upon surrender thereof, such principal amount (together with interest, if any, thereon accrued to such Repayment Date) shall, until paid, bear interest from the Repayment Date at the rate of interest or Yield to Maturity (in the case of Original Issue Discount Securities) set forth in such Security.

  • If an Event of Default specified in Section 501(5) or 501(6) with respect to Securities of any series at the time Outstanding occurs, the principal amount of all the Securities of that series (or, if any Securities of that series are Original Issue Discount Securities, such portion of the principal amount of such Securities as may be specified by the terms thereof) shall automatically, and without any declaration or other action on the part of the Trustee or any Holder, become immediately due and payable.

More Definitions of Discount Securities

Discount Securities which means they may be sold at a discount below their stated principal amount. These debt securities, as well as other debt securities that are not issued at a discount, may, for United States federal income tax purposes, be treated as if they were issued with "original issue discount," or OID, because of interest payment and other characteristics. Special United States federal income tax considerations applicable to debt securities issued with original issue discount will be described in more detail in any applicable prospectus supplement.
Discount Securities means any Securities which is issued with "original issue discount" within the meaning of Section 1273(a) of the Code (or any successor provision) and the regulations thereunder.

Discount Securities. Any Collateral Debt Obligation acquired by the Issuer (including Collateral Debt Obligations purchased by the Issuer prior to the Closing Date with financing obtained pursuant to the Credit and Warehouse Agreement) at a price that is less than 85% of par; provided that any Collateral Debt Obligation that is classified as a Discount Security upon its acquisition by the Issuer shall cease to be so classified beginning on the first day after such acquisition on which such Collateral Debt Obligation shall have maintained a Market Value equal to or greater than 90% of par for a period of 30 consecutive days.
Discount Securities means a Security issued pursuant to this Indenture which is offered for a price less than the principal thereof to be due and payable at Maturity.
