Discretionary Bonus means a bonus payable to a Participant based on that Participant’s Individual Performance Measures. “EPS” means fully diluted earnings per share as reported in the Corporation’s consolidated financial statements for 2012.

Discretionary Bonus means additional variable cash compensation in an amount determined in accordance with any bonus, profit sharing or short term incentive compensation program which may be established by the Board either for Mr. Pierce, Mr. Peymani, Mr. Finster or for other senior officers of the Corporation.

Discretionary Bonus means the dollar amount which results from multiplying the Management Participant’s Compensation for the Bonus Period by the product of the Management Participant’s Discretionary Target Bonus Percent and the Management Participant’s Discretionary Bonus Multiplier.

The Discretionary Bonus will not constitute “performance-based compensation” within the meaning of Section 162(m).
