Dispute or Controversy definition

Dispute or Controversy shall have the meaning set forth in Section 19.1 of this Agreement.

Examples of Dispute or Controversy in a sentence

• All arbitrators shall, upon written request by any Party, provide the Parties with a statement that they can and shall decide any Dispute or Controversy referred to them impartially.

• Except as set forth below, the Arbitration process shall be administered by the American Arbitration Association (“AAA”) under the Commercial Arbitration Rules in effect at the time the Dispute or Controversy is submitted to the AAA for Arbitration.

• The Parties agree that compliance by a Party with the provisions of this Exhibit B shall be a complete defense to any suit, action or proceeding instituted in any federal or state court, or before any administrative tribunal by the other Party with respect to any Dispute or Controversy which is subject to arbitration as set forth herein, other than a suit or action alleging non-compliance with a final and binding arbitration award rendered hereunder.

• In deciding the substance of any such Dispute or Controversy, the arbitrators shall apply the substantive laws of the State.

• This Article 19 and Exhibit B constitute, and hereby are, a written agreement by the Parties to submit to arbitration any Dispute or Controversy arising after the Effective Date within the meaning of Applicable Law.

• Upon the receipt of notice of referral to arbitration hereunder, the receiving Party shall be compelled to arbitrate the Dispute or Controversy in accordance with the terms of this Article 19 and Exhibit B without regard to the justiciable character or executory nature of such Dispute or Controversy.

More Definitions of Dispute or Controversy

Dispute or Controversy means any dispute, controversy or claim between or among the Parties or their Affiliates arising under any Transaction Agreement or connected with or related in any way to any Transaction Agreement of any right, duty or obligation arising under any Transaction Agreement or the relationship of the Parties or their Affiliates under any Transaction Agreement.
