Disqualified Voting Participant definition
Disqualified Voting Participant means any participant meeting the requirements of subclauses (x), (y)(A) and (y)(B) of clause (II) of the third proviso appearing in Section 13.04(a) which (i) has refused to consent to certain proposed changes, waivers, discharges or terminations with respect to this Agreement of the type described in Section 13.12(a) and which have been approved by the Required Lenders and (ii) has been designated as a “Disqualified Voting Participant” by the U.S. Borrower in a written notice to the Administrative Agent.
