Distribution Per Share definition

Distribution Per Share means, with respect to any Class of Shares, an amount equal to the quotient of the amount of any distribution or payment by the Fund in respect of, or allocated to, such Class of Shares that is not a Covered Expense or an Investment-Related Cost, and shall include, without limitation, any distribution of income, dividends, capital gains or principal to the Shareholders of such Class of Shares and any payment of Income Taxes allocated to such Class of Shares, divided by the number of shares of such Class of Shares outstanding on the date of such distribution or payment.
Distribution Per Share means, with respect to any Class of Shares, an amount equal to the quotient of the amount of any distribution or payment by the Fund in respect of, or allocated to, such Class of Shares that is not a Covered Expense or an Investment-Related Cost, and shall include, without limitation, any distribution of income, dividends, capital gains or principal to the Shareholders of such Class of Shares and any payment of Income Taxes allocated to such Class of Shares, divided by the number of shares of such Class of Shares outstanding on the date of such distribution or payment. For the avoidance of doubt, payments of expenses that are not Covered Expenses or Investment-Related Costs, specifically including Income Taxes and extraordinary expenses, are treated as Distributions Per Share for purposes of determining the Guarantee per Share, but such payments can not be reinvested and no Shares shall be issued in respect of such payments.
Distribution Per Share means, with respect to any PPF and any Class of Shares of such PPF, an amount equal to the quotient of the amount of any distribution or payment by the Fund or accrual by the Fund of a liability in respect of, or allocated to, such Class of Shares that is not a Covered Expense or a transaction related brokerage expense, and shall include, without limitation, any distribution of income, dividends, capital gains or principal to the PPF Shareholders of such Class of Shares and any payment or accrual of a liability in respect of income taxes or excise taxes allocated to such Class of Shares divided by the number of shares of such Class of Shares outstanding on the date of such distribution, payment or accrual of a liability. A Distribution Per Share shall be effective on the date on which such distribution, payment or accrual of a liability is made by the Fund. In order to avoid duplication, if the accrual by the Fund of a liability results in a Distribution Per Share, a payment by the Fund in the amount of such accrued liability in satisfaction of such accrued liability shall not result in an additional Distribution Per Share.

More Definitions of Distribution Per Share

Distribution Per Share means the aggregate dividends declared and distributed during the fiscal year by the Company for the fiscal year, divided by the Deemed Shares Outstanding as of the beginning of the fiscal year.
Distribution Per Share means, with respect to any PPF and any Class of Shares of such PPF, an amount equal to the quotient of the amount of any distribution or payment by the Fund in respect of, or allocated to, such Class of Shares that is not a Covered Expense or a transaction related brokerage expense, and shall include, without limitation, any distribution of income, dividends, capital gains or principal to the PPF Shareholders of such Class of Shares and any payment of income taxes or excise taxes allocated to such Class of Shares divided by the number of shares of such Class of Shares outstanding on the date of such distribution or payment.

Distribution Per Share means the net amount available for distribution to the holders of Common Stock outstanding or deemed outstanding on a fully diluted basis, after payment of any expenses of sale which are the obligation of all of the holders of Common Stock outstanding or deemed outstanding on a fully diluted basis on account of such ownership divided by the aggregate number of shares of all classes of Common Stock outstanding or deemed outstanding on a fully diluted basis and without giving effect to any of the special allocations provided herein (other than as provided in subparagraphs (iii)(C), (iv)(D) and (x) hereof).

Related to Distribution Per Share

  • Class IO Distribution Amount As defined in Section 5.07(f) hereof. For purposes of clarity, the Class IO Distribution Amount for any Distribution Date shall equal the amount payable to the Supplemental Interest Trust on such Distribution Date in excess of the amount payable on the Class IO Interest on such Distribution Date, all as further provided in Section 5.07(f) hereof.

  • Class B-6 Distribution Amount As to any Distribution Date, any amount distributable to the Holders of the Class B-6 Certificates pursuant to Paragraphs twentieth, twenty-first and twenty-second of Section 4.01(a).

Upon termination of the obligations created by this Agreement and liquidation of REMIC I, REMIC II and REMIC III, the amounts which remain on deposit in the Certificate Account after payment to the Holders of the REMIC III Regular Interests of the amounts set forth in Section 9.01 of this Agreement, and subject to the conditions set forth therein, shall be distributed to the Class R-1, Class R-2 and Class R-3 Residual Interests in accordance with the preceding sentences of this definition as if the date of such distribution were a Distribution Date.

  • Class C Distribution Amount With respect to any Distribution Date, the sum of (i) the Current Interest for the Class C Interest for such Distribution Date, (ii) any Overcollateralization Release Amount for such Distribution Date and (iii) without duplication, any Subsequent Recoveries not distributed to the Class A, Class M and Class B Certificates on such Distribution Date; provided, however, that, on any Distribution Date after the Distribution Date on which the Certificate Principal Balances of the Class A, Class M and Class B Certificates have been reduced to zero, the Class C Distribution Amount shall include the Overcollateralization Amount.

Such amount shall be determined separately for each Loan Group. Additionally, with respect to any Mortgage Pool that is comprised of two or more Loan Groups, if on any Distribution Date Compensating Interest provided pursuant to this Section 3.16(e) is less than Prepayment Interest Shortfalls incurred on the Mortgage Loans in connection with Principal Prepayments in Full and Curtailments made in the prior calendar month, such Compensating Interest shall be allocated on such Distribution Date to the Available Distribution Amount for each Loan Group on a pro rata basis in accordance with the respective amounts of such Prepayment Interest Shortfalls incurred on the Mortgage Loans in such Loan Group in respect of such Distribution Date.

  • Class B-2 Distribution Amount As to any Distribution Date, any amount distributable to the Holders of the Class B-2 Certificates pursuant to Paragraphs eighth, ninth and tenth of Section 4.01(a).
