Divested Properties definition

Divested Properties means the stores required to be divested, transferred or otherwise sold by the Company or its Restricted Subsidiaries in connection with an acquisition or Investment pursuant to an agreement with or order issued by the Department of Justice, the Federal Trade Commission or any similar regulatory authority; provided that the Divested Properties shall not constitute all or substantially all of the properties or assets of the Company and its Restricted Subsidiaries.
Divested Properties means the stores required to be divested, transferred or otherwise sold by the Albertson’s Group in connection with the Safeway Acquisition pursuant to an agreement with or order issued by the Department of Justice, the Federal Trade Commission or similar regulatory authority.
Divested Properties means the real property and improvements listed on Schedule XIX attached hereto previously owned by Owner and any other real property formerly constituting Individual Properties or Divested Properties which have been condemned by (or transferred in lieu thereof to) a Governmental Authority (during Borrower’s period of ownership) prior to the Closing Date. Prior to the Closing Date, all of Owner’s right, title, interest and estate in the Divested Properties were transferred and conveyed by Owner to third parties. The Divested Properties are not Individual Properties.

  • POP shall be entitled to tender its then existing equity ownership interest in the Option Properties to the UPREIT subject to such mortgage financing and/or such joint venture relationship and to tender Option Properties portfolios to the UPREIT which have been diminished by the divestiture of Divested Properties.

Divested Properties means the businesses, services or assets required to be divested, transferred or otherwise sold by the Company or the Target in connection with the Acquisition in accordance with the Acquisition Agreement.
