Dividend Distribution definition

Dividend Distribution means the distribution by the Borrower to Xxxxxxx Water Products of a dividend of not less than $400,000,000, and the further distribution thereof by Xxxxxxx Water Products to New Holdco, collectively.
Dividend Distribution shall have the meaning assigned to it in Section 7.7.
