Acquiror further agrees that with respect to the provisions of the limited liability company agreement of the Merger Sub relating to exculpation, indemnification, advancement or expense reimbursement, such provisions shall not be amended, repealed or otherwise modified for a period of six (6) years from the Effective Time in any manner that would affect adversely the rights thereunder of the Acquiror D&O Indemnitees, unless such modification shall be required by applicable Law.

Except as otherwise specifically set forth herein, no provision of this Agreement is intended, nor shall any of them be interpreted, to confer upon any Person other than the parties hereto any rights or remedies hereunder; provided, that Section 6.02 is intended to benefit the D&O Indemnitees.
From and after the Closing, the Target Companies shall indemnify the D&O Indemnitees to the extent required under such indemnification provisions of the applicable Target Company Organizational Document for the D&O Claims.
