Documents and Data definition

Documents and Data as used herein means not only hard copy documents, but audio recordings, videotape, e-mail, instant messages, word processing documents, spreadsheets, databases, calendars, telephone logs, contact manager information, Internet usage files, and all other electronic information maintained created, received, and/or maintained by You (or on Your behalf) on computer systems. “Sources” include all hard copy files, computer hard drives, removable media (e.g., CDs and DVDs), laptop computers, PDAs, Blackberry devices, smartphones, and any other locations where hard copy and electronic data is stored. Keep in mind that any of the above-mentioned sources of relevant information may include personal computers You use or have access to at home, or other locations; portable storage devices such as USB flash drives (also known as “thumb drives” or “key drives”); and personal email accounts. It also includes inaccessible storage media, such as back-up tapes that may contain relevant electronic information that does not exist in any other form.
Documents and Data means all documents, data, information, text, drawings, diagrams, images, records or sound embodied in any electronic or tangible medium used or created in connection with this Contract or the Services;
Documents and Data means deeds, wills, written agreements, maps, plans, books, letters, policies, certificates, forms and documents of any nature whatsoever, whether written, printed or reproduced by any method, including computer records and electronic data material, but shall not include money, bearer bonds or coupons, stamps, bank or currency notes or any other negotiable instrument.

Examples of Documents and Data in a sentence

  • The Provider assigns Intellectual Property Rights in Documents and Data created specifically for the Services as referred to in Condition 7.1: [Yes]* [No]* [*Delete as appropriate].

  • The Provider shall indemnify and hold harmless the Client against any liability because of a claim or action that the normal operation, possession or use of the Documents and Data made available to the Client infringes the Intellectual Property Rights of the third party.

  • All Intellectual Property Rights in any Documents and Data or any other materials which are produced or developed for or in connection with the Services by the Client are to belong to the Client.

  • Where the Contract Particulars so state the Provider: assigns to the Client all Intellectual Property Rights in any Documents and Data which are produced or developed by the Provider specifically and exclusively for the provision of the Services; and waives all moral rights in relation to such Documents and Data.

  • If this Agreement is terminated as provided herein, SDCP may require Consultant to provide all finished or unfinished Documents and Data and other information of any kind prepared by Consultant in connection with the performance of Services under this Agreement.

  • All ideas, memoranda, specifications, plans, procedures, drawings, descriptions, computer program data, input record data, written information, and other Documents and Data either created by or provided to Consultant in connection with the performance of this Agreement shall be held confidential by Consultant.

Related to Documents and Data

  • Documents includes any and all instruments, documents, agreements, certificates, indentures, notices and other writings, however evidenced.

  • IT Systems and Data shall have the meaning ascribed to such term in Section 3.1(jj).

  • Other Documents means the Notes and any and all other agreements, instruments and documents, including, without limitation, guaranties, pledges, powers of attorney, consents, and all other writings heretofore, now or hereafter executed by Borrower and/or delivered to Agent or any Lender in respect of the transactions contemplated by this Agreement.
