DocuNet Common Stock definition

DocuNet Common Stock means the common stock, no par value per share, of Purchaser.

  • Any shares of DocuNet Common Stock used to satisfy an Indemnity Claim shall be valued at the lower of the Initial Public Offering Price and the Value as of the date such shares are so used.

  • For purposes of the foregoing limitation, the DocuNet Common Stock shall be valued at the Initial Public Offering Price.

  • The Seller is able to bear the economic risk of an investment in the DocuNet Common Stock acquired pursuant to this Agreement and can afford to sustain a total loss of such investment and have such knowledge and experience in financial and business matters that they are capable of evaluating the merits and risks of the proposed investment in the DocuNet Common Stock.

  • The Seller acknowledges that the shares of DocuNet Common Stock to be delivered to the Seller pursuant to this Agreement have not been and will not be registered under the Securities Act or any other state securities laws, and therefore may not be resold without compliance with the Securities Act.

  • The DocuNet Common Stock to be acquired by the Seller pursuant to this Agreement is being acquired solely for their own respective accounts, for investment purposes only, and with no present intention of distributing, selling or otherwise disposing of it in connection with a distribution.

  • The Seller covenants, warrants and represents that none of the shares of DocuNet Common Stock issued to the Seller will be offered, sold, assigned, pledged, hypothecated, transferred or otherwise disposed of except after full compliance with all of the applicable provisions of the Securities Act, the rules and regulations of the Securities and Exchange Commission and applicable state securities laws.
