There are no matters pending before the IRS, DOL or other Governmental Entity with respect to any Benefit Plan.
Neither Cornerstone nor any of its Subsidiaries has received any correspondence or written or verbal notice from the IRS, DOL, any other Governmental Entity, any participant in or beneficiary of, a Benefit Plan, or any agent representing any of the foregoing that brings into question the qualification or compliance of any such Benefit Plan.
