Donation Agreement definition

Donation Agreement has the meaning set forth in Section 3.01.

Donation Agreement or “Donation Agreements” shall mean the Donation Agreements entered into by and between Clay Township as Donee and the City, the County, the Park Board and Delaware Township as Donors.

Donation Agreement. A donation agreement is an agreement on a gratuitous basis, through which one of the parties, engages himself to make a disposition out of his own property with the purpose to enrich the other party to the agreement.

• Documents, information and data provided to the SDSTA pursuant to the terms of this Contract may be subject to examination and review by representatives of the Homestake Mining Company of California pursuant to the terms of the Property Donation Agreement or by representatives of federal, state or local governmental entities, including, but not limited to, the South Dakota Department of Legislative Audit.

• Accordingly, such documents shall be construed without regard to any presumption or other rule of construction whereby any ambiguities within this Donation Agreement would be construed or interpreted against the party causing the document to be drafted.

• Notwithstanding the foregoing, Donee may not transfer, assign or encumber Donee's rights under this Donation Agreement without Donor's prior written approval.

• The parties intend and agree that this Donation Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located.
