Dow Intercompany Indemnity Cap means $200,000,000.
Indemnity Cap has the meaning set forth in Section 9.2(b).
Indemnity, Subrogation and Contribution Agreement means the Indemnity, Subrogation and Contribution Agreement among Xxxxx 0, the Borrower, the Subsidiary Loan Parties and the Collateral Agent, substantially in the form of Exhibit C-3.
Tax Indemnity Agreement means that certain Tax Indemnity Agreement [NW ____ _], dated as of the date hereof, between the Owner Participant and Lessee, as originally executed or as modified, amended or supplemented pursuant to the applicable provisions thereof.
Tax Losses has the meaning assigned to such term in Section 7.1(a).
Indemnity Escrow Agreement means the Indemnity Escrow Agreement substantially in the form attached hereto as Exhibit B, among the Sellers, the Buyers and the Escrow Agent.
Indemnity Escrow Amount means $3,000,000.
Buyer Losses shall have the meaning set forth in Section 11.1 hereof;
Indemnity Escrow Fund means the Indemnity Escrow Amount deposited with the Escrow Agent, as such sum may be increased or decreased as provided in this Agreement and the Escrow Agreement, including any remaining interest or other amounts earned thereon.
Company Indemnified Parties has the meaning specified in Section 7.8(a).
Indemnification Escrow Amount has the meaning set forth in Section 2.2(b).
Seller Indemnified Parties has the meaning set forth in Section 8.1.
Seller Losses has the meaning set forth in Section 10.2(a).
Buyer Indemnified Parties has the meaning set forth in Section 8.2.
Company Indemnified Persons has the meaning set forth in Section 5(a).
Seller Indemnified Persons has the meaning set forth in Section 8.3.
Purchaser Losses shall have the meaning set forth in Section 9.1(a).
Buyer Indemnified Persons has the meaning set forth in Section 8.2.
Indemnification Escrow Fund has the meaning set forth in Section 2.12(a).
Parent Indemnified Parties has the meaning set forth in Section 9.2(a).
Company Indemnified Person means (a) any Administrator; (b) any Affiliate of any Administrator; (c) any officers, directors, shareholders, members, partners, employees, representatives or agents of any Administrator; or (d) any officer, employee or agent of the Trust or its Affiliates.
Buyer Indemnitees has the meaning set forth in Section 8.02.
Company Indemnified Party has meaning set forth in Section 8(b) hereof.
Seller Indemnitees has the meaning set forth in Section 8.03.
Seller Indemnified Party has the meaning set forth in Section 7.2.
Tax Indemnified Party shall have the meaning set forth in Section 7.6(d).
Buyer Indemnified Party has the meaning set forth in Section 8.2.
