Downstream Customers means End Customers and Resellers, as applicable.

  • Partner is solely responsible for invoicing and collecting fees from Downstream Customers.

  • Partner warrants that it and its Downstream Customers are not restricted under applicable law from accessing or reselling the Service.

  • To the extent required by applicable law, Partner shall obtain consent from Downstream Customers for JumpCloud to process Personal Data under this Agreement.

  • Partner will provide all support for Downstream Customers and JumpCloud will only provide support to Partner for the Service at JumpCloud’s then-current rates.

  • Upon expiration, termination, or nonrenewal of an Order, all discounts provided under such Order will expire (along with the rest of the Order), and JumpCloud may offer the applicable Downstream Customers the opportunity to enter into an agreement directly with JumpCloud or its designee.

  • It does not constitute or amend the Committed Delivery Date for any corresponding Ordered Product and must not be relied upon by the Customer, including for the purpose of making representations to Downstream Customers.

  • Downstream Customers are bound by the RCL agreement, not this Commercial Agreement, so if a Downstream Customer makes modification to the code, all modifications, including those made by the Customer must be submitted to the Community as set forth by the RCL, thus nullifying any value of this Commercial License Agreement.

  • To prevent this, Customer should either prohibit Downstream Customers from making any Modifications or should acquire additional Commercial Licenses from the OPC Foundation on behalf of each Downstream Customer.
