Draft Form F-1 means the draft Form F-1 registration statement, a copy of which is attached hereto as Schedule A.
Form F-1 means such form under the Securities Act as in effect on the date hereof or any successor registration form under the Securities Act subsequently adopted by the SEC.
Form S-4 Registration Statement means the registration statement on Form S-4 to be filed with the SEC by Parent in connection with issuance of Parent Common Stock in the Merger, as said registration statement may be amended prior to the time it is declared effective by the SEC.
Short Form Notice means the Short Form Notice substantially in the form as
Rule 462(b) Registration Statement means any registration statement prepared by the Company registering additional Securities, which was filed with the Commission on or prior to the date hereof and became automatically effective pursuant to Rule 462(b) promulgated by the Commission pursuant to the Securities Act.
Form S-1 shall have the meaning given in subsection 2.1.1.
New Registration Statement has the meaning set forth in Section 2(a).
Form F-3 Shelf shall have the meaning given in Section 2.1.1.
Registration Form means a book voter registration form and a by-mail voter
Supplementary Offering Document means a document issued to modify, add to, alter and amend, amend and restate or to make any other amendment to the Offering Document in such manner and to such extent as considered expedient for all purposes by the Management Company, with the consent of the Trustee, after seeking approval of the SECP, and the same shall be consolidated, read and construed together with the Offering Document.”
IPO Registration Statement means the Registration Statement on Form S-1 (File No. 333-196099), as amended, filed by the Partnership with the Commission under the Securities Act to register the offering and sale of the Common Units in the Partnership’s initial public offering of such Common Units to the public.
Book voter registration form means voter registration forms contained in a
Proxy Form means the proxy form attached to the Notice;
Form S-4 has the meaning set forth in Section 6.5(a).
Company Registration Statement shall have the meaning set forth in Section 3.5(a).
Initial Shelf Registration Statement has the meaning set forth in Section 2(a) hereof.
Merger Registration Statement means the registration statement, together with all amendments, filed with the SEC under the Securities Act for the purpose of registering shares of NYB Common Stock to be offered to holders of Synergy Common Stock in connection with the Merger.
Form S-1 Shelf shall have the meaning given in Section 2.1.1.
Resale Shelf Registration Statement shall have the meaning given in subsection 2.3.1.
Subsequent Shelf Registration Statement has the meaning set forth in Section 2(b) hereof.
Automatic Shelf Registration Statement means an “automatic shelf registration statement” as defined in Rule 405 promulgated under the Securities Act.
Continuation statement means an amendment of a financing statement which:
Form N-2 means such form under the Securities Act as in effect on the date hereof or any successor registration form under the Securities Act subsequently adopted by the Commission.
Schedule 13E-3 has the meaning specified in Section 4.2(a).
Shelf Registration Statement means the Shelf Registration Statement as defined in the Registration Rights Agreement.
Additional Registration Statement means a registration statement or registration statements of the Company filed under the 1933 Act covering any Additional Registrable Securities.
Piggyback Registration Statement has the meaning set forth in Section 3(a).
