Upon receipt of a Draw Notice by such Borrower, such Borrower shall be irrevocably and unconditionally obligated to reimburse the L/C Issuer for any amounts paid by the L/C Issuer upon any drawing under any Letter of Credit, without presentment, demand, protest or other formalities of any kind on the second Domestic Business Day following the date of receipt.
The Borrower shall reimburse the LC Issuer not later than 10:00 a.m. (New York time) on the Business Day following its receipt of a Draw Notice (such next Business Day, the “Reimbursement Date”) in an amount equal to the amount so paid by the LC Issuer.
The Issuer shall have delivered a Delayed Draw Notice to the Purchasers and Agent at least fifteen (15) Business Days prior to the proposed Delayed Draw Funding Date.
Each Delayed Draw Notice shall be deemed to be a representation and warranty by the Issuer that the conditions specified in Section 8.2 and Section 8.3 have been satisfied on and as of the date of the applicable Delayed Draw Funding Date.
Each Delayed Draw Notice shall be irrevocable and shall specify (i) the requested date of the issuance of such Delayed Draw Notes (which shall be a Business Day) (each a “Delayed Draw Funding Date”) and (ii) the principal amount of such Delayed Draw Notes to be issued and purchased.
