Due Diligence Generally. Priveco will be reasonably satisfied with their due diligence investigation of Pubco that is reasonable and customary in a transaction of a similar nature to that contemplated by the Transaction.
Due Diligence Generally. Pubco and its solicitors will be reasonably satisfied with their due diligence investigation of Priveco that is reasonable and customary in a transaction of a similar nature to that contemplated by the Transaction, including:
(i) materials, documents and information in the possession and control of Priveco and the Selling Shareholders which are reasonably germane to the Transaction;
(ii) a physical inspection of the assets of Priveco by Pubco or its representatives; and
(iii) title to the material assets of Priveco.
Due Diligence Generally. A Selling Shareholder will be reasonably satisfied with their respective due diligence investigation of PGT that is reasonable and customary in a transaction of a similar nature to that contemplated by the Transaction.
Due Diligence Generally. The Vendor and its solicitors will be reasonably satisfied with their due diligence investigation of the Purchaser that is reasonable and customary in a transaction of a similar nature to that contemplated by the Transaction.
Due Diligence Generally. PGT and its solicitors will be reasonably satisfied with their due diligence investigation of Enviro that is reasonable and customary in a transaction of a similar nature to that contemplated by the Transaction, including:
(i) materials, documents and information in the possession and control of Enviro and the Selling Shareholders which are reasonably germane to the Transaction;
(ii) a physical inspection of the assets of Enviro by PGT or its representatives; and
(iii) title to the material assets of Enviro.
Due Diligence Generally. Pubco and its solicitors will be reasonably satisfied with their due diligence investigation of Priveco that is reasonable and customary in a transaction of a similar nature to that contemplated by the Transaction, including:
(i) materials, documents and information in the possession and control of Priveco and the Selling Shareholders which are reasonably germane to the Transaction;
(ii) without limiting the foregoing, all disclosures, materials, documents and information of Pubco to be delivered in respect of Schedules 3, 5, 6, 7, 8, and 9 of this Agreement;
(iii) a physical inspection of the assets of Priveco by Pubco or its representatives; and
(iv) title to the material assets of Priveco.
Due Diligence Generally. Brigade and its solicitors shall be reasonably satisfied with their due diligence investigation of G2BE that is reasonable and customary in a transaction of a similar nature to that contemplated by the Share Exchange, including:
(i) a review of materials, documents and information in the possession and control of G2BE and the Shareholders which are reasonably germane to the Share Exchange;
(ii) a physical inspection of the assets of G2BE by Brigade or its representatives; and
(iii) an examination of title to the material assets of G2BE and its subsidiaries.
Due Diligence Generally. The Purchaser and its solicitors will be reasonably satisfied with their due diligence investigation of Priveco that is reasonable and customary in a transaction of a similar nature to that contemplated by the Transaction, including:
(i) materials, documents and information in the possession and control of Priveco and the Vendor which are reasonably germane to the Transaction;
(ii) a physical inspection of the assets of Priveco by the Purchaser or its representatives; and
(iii) title to the material assets of Priveco.
Due Diligence Generally. Pubco and its solicitors will be reasonably satisfied with their due diligence investigation of General Gold that is reasonable and customary in a transaction of a similar nature to that contemplated by the Transaction, including:
(i) materials, documents and information in the possession and control of General Gold and the Selling Shareholders which are reasonably germane to the Transaction;
(ii) a physical inspection of the assets of General Gold by Pubco or its representatives; and
(iii) title to the material assets of General Gold.
Due Diligence Generally. General Gold will be reasonably satisfied with their due diligence investigation of Pubco that is reasonable and customary in a transaction of a similar nature to that contemplated by the Transaction.
